In fact, once you have officially gotten your EP/EntrePass status, we will begin to guide you on the things you can do to assist with your social integration efforts and other factors that will bolster your chances of approval for your PR application.

The PR application will be filed to the Immigration & Checkpoints Authority (ICA) and approvals are not automatic but based on your credentials, overall conduct and Singapore’s PR policies at that given point in time

FAQs for Company Incorporation

Can a foreigner incorporate a company in Singapore?

Yes. Singapore allows 100% foreign ownership of companies, making it one of the most business-friendly jurisdictions globally. However, while ownership is unrestricted, management and work rights are regulated.

Nevertheless, every Singapore company must appoint at least one locally resident director, who must be:

  • A Singapore Citizen
  • A Singapore Permanent Resident
  • Or a valid Employment Pass (EP) holder

How TIP helps:
TIP helps you ensure the statutory requirement of a local resident director is complied with. In many cases, we advise whether it makes sense to:

  • Apply for your own Employment Pass first
  • Appoint a nominee director for an interim period
  • Restructure shareholding and directorship to support future EP or Permanent Residency (PR) goals

Our focus is not just legal compliance, but immigration sustainability.

Do I need to be physically present in Singapore to incorporate a company?

No. Singapore allows remote incorporation, meaning you can register a company without entering the country. Identity verification and document signing can be done digitally. That said, remote incorporation does not mean zero scrutiny. Banks, Ministry of Manpower (MOM), and Immigration & Checkpoints Authority (ICA) will later assess:

  • Why the business was incorporated
  • Whether the founder genuinely intends to operate in Singapore
  • Whether the business has substance beyond paper registration

How TIP helps:
TIP coordinates incorporation timelines with relocation and work pass planning, so your business does not appear “empty” or speculative when assessed by authorities.

Can I work in my own Singapore company?

If you are not a Singaporean or a Singapore PR, then no, not automatically.

Being a shareholder or director does not give you the right to work. You must hold a valid work pass, most commonly an Employment Pass (EP).

Working without a valid pass is a serious offence and can jeopardise future applications.

How TIP helps:
TIP ensures your job scope, title, salary, and business plan are aligned before any EP submission, so you don’t inadvertently weaken your immigration record.

What is the most suitable business structure for foreigners?

The most common structure is a Private Company Limited by Shares (i.e. Pte Ltd) because it:

  • Allows 100% foreign ownership
  • Is eligible for work passes
  • Is scalable for regional expansion
  • Is recognised by banks and investors
  • Other structures (branch office, representative office) have limitations and are often unsuitable for long-term relocation.

How TIP helps:
TIP evaluates whether a Pte Ltd, subsidiary, or holding structure best supports:

  • Your intended role in Singapore
  • Pass eligibility
  • Long-term PR strategy
How long does company incorporation take?

In most cases, 1–3 working days. However, delays occur when:

  • Business activities fall under certain regulated sectors which may require license or approval
  • Proposed company names trigger additional reviews
  • Shareholders or directors are from higher-risk jurisdictions

How TIP helps:
TIP pre-screens your business activities and structure to minimise delays and objections, saving you time and unnecessary revisions.

Do I need a local office address?

Yes. Every company must have a registered office address in Singapore where all communications and notices to the company are addressed to, and where the company’s registers and records are kept. The registered office address need not be the place of operation.

Virtual offices are permitted for many industries, but:

  • Some sectors require physical premises
  • EP applications may be questioned if the setup appears insubstantial

How TIP helps:
TIP advises on compliance-safe address solutions that support both business operations and immigration assessments.

Are there industries foreigners cannot incorporate in?

Foreigners can incorporate companies in most sectors. However, several industries in Singapore are regulated and require additional licenses or approvals before you can operate. These include:

  • Financial services
  • Education
  • Healthcare
  • Recruitment / Employment agencies
  • Media & broadcasting
  • Operating in these sectors without the proper approvals may lead to compliance issues or rejection of EP applications.

How TIP helps:
TIP identifies regulatory requirements early and helps you:

  • Sequence licences and approvals correctly
  • Avoid non-compliance and application errors
  • Structure the business to meet regulatory expectations and pass scrutiny
What are my tax obligations as a company owner?

Singapore offers:

  • Corporate tax capped at 17%
  • Startup tax exemptions
  • No capital gains tax

Personal tax applies only if you draw a salary or director’s fees.

How TIP helps:
TIP works with tax professionals to ensure your salary structure aligns with pass requirements, without raising unnecessary red flags.

Will incorporating a company improve my PR chances?

Not automatically. ICA assesses:

  • Economic contribution
  • Employment stability
  • Integration
  • Long-term commitment

A company without substance does not strengthen a PR case.

How TIP helps:
TIP positions your business as part of a genuine, long-term Singapore journey, not a transactional setup.

What common mistakes do foreigners make in their company incorporation and work pass applications?

Common mistakes include:

  • Using inappropriate job titles that do not reflect the company’s actual scale
  • Proposing salary levels that are unrealistic or not commercially justified
  • Setting up the business with insufficient paid-up capital to support operations
  • Treating immigration requirements as an afterthought rather than planning them from the start

These issues frequently raise red flags with authorities and can result in application rejections.

How TIP helps:
TIP prevents these issues by designing the entire journey upfront, rather than fixing problems later.
